Director's Duties under Bermuda Law

This is a summary of the legal principles relating to directors’ duties under Bermuda law for the general guidance of individuals who are prospective directors of a Bermuda company, or those who are already directors and wish to be clear on where their responsibilities lie. It is not intended to be exhaustive in its scope, but focuses on those points which most frequently arise in practice. Some aspects of these duties are explored in more detail in the companion pieces, including the rules relating to insider trading, and the modern trend in cases in England, the United States and Canada, which may have implications for Bermuda directors.
